1. INTRODUCTION & ACCEPTANCE

These Terms of Use (“Terms”) govern access to and use of all websites, mobile applications, software, tools, analytics, automation infrastructure, content, and services operated or provided by Dozen Diamonds India Private Limited, a company incorporated under the laws of India, having its registered office at Flat #10, Pink Rose, Garden Estate, Nashik Road, Maharashtra – 422101 (“Dozen Diamonds”, “Company”, “we”, “us”, or “our”).

By accessing, registering on, or using any part of the platform, including but not limited to the Kosh App, Stressless Trading Method (STM), analytics dashboards, automation frameworks, or related services (collectively, the “Platform”), you (“User”, “you”) agree to be legally bound bythese Terms.

If you do not agree, you must immediately discontinue use of the Platform.

2. NATURE OF THE PLATFORM (TECHNOLOGY-ONLY SERVICE)

The Platform is a technology, analytics, and automation infrastructure that provides users with access to:

• Algorithmic trading frameworks
• Automation and execution logic
• Analytics, dashboards, indicators, and monitoring tools
• Backtesting, simulation, and historical analysis
• Educational content and system explanations

The Platform DOES NOT:

• Act as a broker, dealer, sub-broker, or intermediary
• Act as an investment adviser, research analyst, portfolio manager, or fiduciary
• Provide investment advice, trading tips, or recommendations
• Execute trades on behalf of users
• Exercise discretionary control over any user account or capital

All services are non-advisory, non-discretionary, and technology-only in nature.

3. NO INVESTMENT ADVICE OR RECOMMENDATION

Nothing on the Platform constitutes:

• Investment advice
• Financial advice
• A recommendation to buy, sell, or hold any security or derivative
• An offer, solicitation, or inducement to trade

All information, analytics, algorithms, methods, indicators, and frameworks—including the Stressless Trading Method—are provided solely for informational, educational, and structural purposes.

Users acknowledge that:

• All trading and investment decisions are made independently
• Any reliance on Platform outputs is entirely at the user’s own risk
• Dozen Diamonds bears no responsibility for outcomes resulting from such reliance

4. ALGORITHMIC & AUTOMATED TRADING RISK DISCLOSURE

Users expressly acknowledge that algorithmic and automated trading involves heightened risk, including but not limited to:

• Logic and configuration errors
• Market regime changes
• Slippage, latency, and execution discrepancies
• Technology failures, outages, or bugs
• Broker API instability or exchange disruptions
• Limitations of backtesting and simulation
• Unsupervised automation during adverse conditions
• Third-party dependencies

No algorithm, framework, or method offered through the Platform guarantees profitability, capital protection, or consistent results.

5. BACKTESTING & SIMULATION DISCLAIMER

Backtested, simulated, or historical results are hypothetical and do not represent actual trading.
Such results:

• Do not account for real-world frictions
• May materially differ from live outcomes
• Are not indicative of future performance

Users are solely responsible for validating strategy logic, parameters, and execution behaviour before activation.

6. USER RESPONSIBILITIES

Users are solely responsible for:

• Strategy selection and activation
• Capital allocation and risk limits
• Monitoring automated activity
• Compliance with applicable laws and regulations
• Tax obligations and reporting

Dozen Diamonds does not supervise, intervene, override, or manage user strategies.

7. ELIGIBILITY & ACCOUNTS

• Users must be 18 years or older
• Account sharing is strictly prohibited
• Users must maintain confidentiality of credentials, API keys, and access tokens
• All activity under an account is deemed authorised by the user

Dozen Diamonds reserves the right to suspend or terminate access without prior notice in case of misuse, breach, security risk, or regulatory concern.

8. SUBSCRIPTIONS, FEES & PAYMENTS

Access to Platform services may require payment of subscription fees as published on the pricing page.

Users acknowledge and agree that:

• Fees are non-refundable, except as required by law
• Subscriptions may auto-renew unless cancelled
• Cancellation takes effect at the end of the billing cycle
• Fees are paid for access to tools, not for returns or outcomes
• Pricing, features, or plans may be modified at any time

Payments are processed via authorized gateways including Razorpay. Dozen Diamonds does not store card details.

9. BROKER & THIRD-PARTY RESPONSIBILITY

All trade execution occurs exclusively through user-linked third-party brokers.

Dozen Diamonds:

• Does not control execution, routing, settlement, or margins
• Is not responsible for broker or exchange actions or failures

Any dispute related to broker services must be resolved directly between the user and the broker.

10. INTELLECTUAL PROPERTY

All Platform software, algorithms, STM logic, designs, content, and trademarks are the exclusive property of Dozen Diamonds.

Users retain ownership of their custom configurations and parameters but may not:

• Copy, reverse-engineer, or redistribute Platform components
• Commercially exploit Platform IP without written consent

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

• The Platform is provided “AS IS” and “AS AVAILABLE”
• All warranties are disclaimed
• Dozen Diamonds shall not be liable for:
  • Trading or capital losses
  • Missed or failed executions
  • Technology or data failures
  • Indirect, incidental, or consequential damages

Use of the Platform is entirely at the user’s own risk.

12. INDEMNITY

Users agree to indemnify and hold harmless Dozen Diamonds from any claims, losses, damages, penalties, or expenses arising from:

• Use of the Platform
• Violation of these Terms
• Violation of applicable laws

13. FORCE MAJEURE

Dozen Diamonds shall not be liable for failure or delay due to events beyond reasonable control, including natural disasters, system outages, regulatory actions, or third-party failures.

14. TERMINATION

Dozen Diamonds may suspend or terminate access at its sole discretion, with or without notice, if continued use poses legal, regulatory, or operational risk.

15. GOVERNING LAW & JURISDICTION

These Terms shall be governed by the laws of India.

Courts at Nagpur shall have exclusive jurisdiction.

16. AMENDMENTS

Dozen Diamonds may amend these Terms at any time. Continued use constitutes acceptance of revised Terms.
